CAPTAIN AGREEMENT

Terms and Conditions

These Terms and Conditions are a binding agreement between you and [FULL LEGAL ENTITY NAME], doing business as CharterCue ("CharterCue," "we," "us," or "our"). They govern your use of CharterCue's websites, applications, communications, booking, artificial-intelligence, and related services (the "Platform"). By creating an account, clicking to accept, or using the Platform, you agree to these Terms.

CharterCue is a software and communications tool. It is not a charter operator, captain, guide, vessel owner, travel agent, or emergency service. Captains and charter businesses retain sole responsibility for their operations, decisions, trips, guests, vessels, crew, safety, legal compliance, and communications.

1. Accounts and authority

You must be at least 18 and legally able to enter a contract. If you use the Platform for a business, you represent that you may bind it. You are responsible for accurate account information, credential security, account activity, and access granted to your team.

2. The Platform is a tool

The Platform may organize leads, bookings, payments, schedules, guest information, waivers, messages, weather information, trip details, photos, and business records. It may draft, summarize, recommend, automate, or transmit content.

CharterCue does not own, operate, inspect, maintain, crew, control, or supervise any vessel or trip. We do not verify licenses, insurance, qualifications, equipment, vessel condition, capacity, compliance, or suitability unless expressly agreed in writing. Captains and charter businesses are independent and are not CharterCue's employees, agents, partners, or representatives.

You remain responsible for every operational, safety, weather, scheduling, booking, pricing, refund, passenger, navigation, and compliance decision. Platform output is administrative information, not legal, safety, weather, navigation, medical, tax, or professional advice.

3. Availability and backup procedures

The Platform may be unavailable, delayed, interrupted, inaccurate, incomplete, or fail to operate as expected. You must maintain independent records, backup communications, manual calendars or procedures, and contingency plans sufficient to operate without the Platform.

CharterCue does not guarantee prevention of missed calls, messages, leads, bookings, reminders, payments, waivers, departures, or trips. We are not responsible for a missed, delayed, canceled, double-booked, underbooked, or incorrectly scheduled trip—or resulting lost revenue, refunds, customer claims, or reputational harm—because the Platform did not operate as wanted or expected.

4. Automated and AI-assisted actions

Automated or AI-assisted output may be inaccurate, incomplete, outdated, or inappropriate. You must review outputs before relying on them. You are responsible for configured rules, permissions, recipients, timing, legality, and consequences. Never use the Platform as the sole basis for a safety-critical, navigation, weather, passenger, legal, or emergency decision.

5. Guests, trips, and payments

Charter services are offered and performed by the applicable charter business, captain, or guide—not CharterCue. The charter business is the merchant and contracting party and is responsible for prices, taxes, deposits, refunds, cancellations, weather policies, fulfillment, guest screening, accommodations, safety briefings, waivers, permits, licenses, insurance, and compliance. CharterCue is not a party to disputes between a charter business and its guests or other third parties.

You agree to pay stated Platform fees and applicable taxes. Unless otherwise stated, subscriptions renew until canceled and fees are nonrefundable except where required by law. Third-party payment processing is subject to the processor's terms.

6. Legal responsibilities and data

You are responsible for lawful use of the Platform, including passenger-vessel, fishing, safety, advertising, consumer-protection, payment, tax, privacy, data-security, call-recording, electronic-signature, email, text-message, telemarketing, and marketing-consent laws. You must obtain required permissions and releases and honor opt-outs.

You retain rights in data you submit and grant CharterCue and its service providers a worldwide, nonexclusive license to host, process, transmit, display, and use it as reasonably necessary to operate, secure, support, and improve the Platform, comply with law, and enforce these Terms. You represent that you have all required rights and consents.

7. Acceptable use and ownership

You may not interfere with Platform security or operation, access another customer's data, upload malicious code, use the Platform unlawfully or deceptively, or mislead recipients about who is communicating. CharterCue and its licensors own the Platform, software, design, branding, documentation, and supplied content. We grant you a limited, revocable, nonexclusive, nontransferable right to use the Platform for internal business purposes during authorized access.

8. Disclaimers

To the maximum extent permitted by law, the Platform is provided "as is" and "as available." CharterCue disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that outputs, messages, alerts, bookings, payments, waivers, schedules, or weather information will be accurate, complete, timely, delivered, secure, error-free, or available.

9. Limitation of liability

To the maximum extent permitted by law, CharterCue and its related parties will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; loss of profits, revenue, bookings, trips, business, goodwill, reputation, data, or use; customer refunds or claims; substitute services; or business interruption.

The total aggregate liability of CharterCue and its related parties for all claims arising from the Platform, these Terms, or the parties' relationship will not exceed the amount you actually paid CharterCue during the twelve months immediately before the event giving rise to the first claim. If you paid nothing during that period, aggregate liability will be zero to the maximum extent permitted by law.

10. Indemnification and operator release

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless CharterCue and its related parties from claims, losses, liabilities, damages, costs, and reasonable attorneys' fees arising from your charter business, vessel, crew, guests, trips, cancellations, refunds, injuries, deaths, property damage, regulatory obligations, data, Platform configuration or use, communications or actions, breach of these Terms or law, or a third-party dispute.

You release and agree not to sue CharterCue and its related parties for claims arising from your operations; a missed, delayed, canceled, double-booked, or incorrectly scheduled trip; a missed or delayed communication, payment, waiver, booking, reminder, or alert; reliance on Platform data or output; or a Platform interruption, error, defect, or failure. You control your business, assume the risk that the Platform may not operate as expected, and must check bookings and communications and maintain reasonable backup procedures. These provisions do not apply where liability cannot lawfully be released or limited.

11. Termination, governing law, and general terms

We may suspend or terminate access for breach, security or legal risk, nonpayment, misuse, or where continued service is no longer practical. Provisions that should survive will survive. These Terms are governed by the laws of [STATE]; courts in [COUNTY, STATE] have exclusive jurisdiction except where law requires otherwise. If a provision is unenforceable, it will be modified only as necessary and the remainder will remain effective. We may update these Terms prospectively by posting a revised version and any additional notice required by law.
